1. Agreement to Terms

By accessing our website (thelastcode.com) or contracting The Last Code for web, mobile, or design services, you agree to be bound by these Terms & Conditions, all applicable laws, and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing this site or utilizing our services.

2. Services & Engagements

The Last Code provides bespoke software development, frontend engineering, backend architecture, UX/UI design, and digital consulting services.

Each project engagement is governed by an explicit Statement of Work (SOW), Master Services Agreement (MSA), or written project proposal defining deliverables, milestones, and timelines.

Any requests for scope expansion or additional feature requests beyond the agreed SOW will be evaluated and quoted through a formal change order.

3. Intellectual Property Rights

Client Deliverables: Upon full and final settlement of all agreed invoices, full ownership of custom code, assets, and design files produced specifically for the client will transfer to the client, unless otherwise agreed in writing.

Agency Property: The Last Code retains full proprietary rights over internal frameworks, pre-existing code libraries, reusable architectural modules, and proprietary methodologies utilized during the project.

Website Materials: All text, graphics, logos, marks, and design elements on thelastcode.com are the exclusive property of The Last Code and are protected under copyright and trademark laws.

4. Payment Terms & Invoicing

Project billing is executed based on milestone achievements, upfront retainer agreements, or hourly allocations as specified in your agreement.

Invoices are payable within the agreed net term (typically 14 to 30 calendar days). Late payments may result in temporary project suspension and interest fees permitted by law.

Deposits and upfront milestone fees are generally non-refundable once engineering or design sprints have commenced.

5. Client Responsibilities

Clients agree to provide timely feedback, approvals, and required access credentials (APIs, third-party accounts, design assets) necessary for project continuity.

Clients certify that all materials, media, and copy provided to The Last Code do not violate any third-party copyrights, trademarks, or proprietary rights.

6. Warranties & Disclaimers

The Last Code warrants that digital deliverables will be crafted with professional diligence conforming to recognized industry standards.

Except as explicitly stated in a signed service contract, website information and resources are provided 'as is' without warranties of any kind, whether express or implied.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall The Last Code, its officers, directors, or employees be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, or business opportunity).

The Last Code's total aggregate liability arising out of or related to any project engagement shall not exceed the total fees paid by the client under the applicable Statement of Work.

8. Governing Law & Jurisdiction

These Terms & Conditions and any disputes arising out of your use of our website or services shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law principles.
